These Terms of Service (“Terms”) govern your access to and use of skedeon.com and the Skedeon application (the “Service”), provided by Vertex Digital L.L.C-FZ, a limited liability company registered in the Meydan Free Zone, Dubai, United Arab Emirates, License No. 2648533.01, registered address Meydan Grandstand, 6th floor, Meydan Road, Nad Al Sheba, Dubai, United Arab Emirates (“Vertex Digital”, “we”, “us”). By creating an account or using the Service you agree to these Terms. If you use the Service on behalf of an organization, you confirm that you are authorized to accept these Terms for it.
1. The Service
Skedeon is a tool for scheduling and publishing content to social media accounts that you own or are authorized to manage. Features available today include scheduling and automatic publishing of Instagram Reels, Stories and feed posts and Facebook Page Reels through the official Meta APIs, publishing one post to many accounts with a caption per account, an optional “Made with AI” label and a calendar. Features described as “coming soon” are plans, not commitments, and may change or never be released. The Service is currently offered as early access and may change as we develop it.
2. Eligibility and your account
You must be at least 18 years old, or the age of majority where you live, and able to enter into a binding contract. You agree to provide accurate information, keep your login secure and tell us promptly at support@skedeon.com about any unauthorized use. You are responsible for all activity under your account, including the actions of team members you invite.
3. Connected platforms
When you connect an Instagram, Facebook, TikTok or YouTube account, you authorize Skedeon to access it with the permissions you grant and to publish the content you schedule. You confirm that you own each connected account or are authorized by its owner to manage it. Your use of each platform remains subject to that platform’s own terms and policies, including the Meta Terms of Service, the Instagram Terms of Use and Community Guidelines, the YouTube Terms of Service and the TikTok Terms of Service and Community Guidelines. Skedeon is independent and is not affiliated with, endorsed or sponsored by Meta, Google or TikTok. The platforms may change or restrict their APIs, or act on your accounts, at any time and for reasons outside our control.
4. Your content
You keep all rights to the media, text and other material you upload (“Your Content”). You grant Vertex Digital a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, adapt (for example, technical format conversion) and transmit Your Content solely to provide the Service to you, including sending it to the platforms you select. This licence ends when Your Content is deleted from our systems, except for content already published at your direction, which is then governed by the relevant platform. You are solely responsible for Your Content and confirm that you have all rights, licences and permissions it requires, including for music, images, trademarks and the likeness of any person who appears in it, and that it complies with the law and with the rules of each platform where it is published.
5. AI-generated content and disclosure
If Your Content is created or materially altered with artificial intelligence, you are responsible for disclosing it as required by each platform’s rules and by applicable law, including any transparency obligations for synthetic or manipulated media. Skedeon offers a “Made with AI” option that sends the platform’s official AI-content label where one is available (on Instagram, the is_ai_generated field). This option is a tool to help you; it does not verify your content and does not replace your own obligations. You must not use AI-generated content to impersonate real people or to mislead viewers about facts, events or endorsements.
6. Acceptable use
You agree not to use the Service to:
- send spam, or post repetitive, unsolicited or deceptive content;
- engage in inauthentic behaviour, including fake accounts, coordinated inauthentic behaviour, artificially inflating engagement, or operating accounts that mislead people about who is behind them;
- impersonate any person or organization, or misrepresent your affiliation with them;
- publish content that is illegal, infringes the rights of others, is hateful or harassing, sexually exploits minors, promotes violence, or violates any platform’s rules;
- publish misleading health, financial or commercial claims, or advertising without the disclosures required by law and platform policies;
- circumvent platform rate limits, restrictions, enforcement actions or our usage limits;
- access accounts you are not authorized to manage;
- interfere with or disrupt the Service, probe or attack its security, introduce malware, or scrape it;
- copy, modify, reverse engineer or resell the Service, except as permitted by law or a written agreement with us.
Managing many accounts is allowed and is what Skedeon is built for, provided that every account is authentic, authorized and used in compliance with each platform’s rules.
7. Plans and fees
During early access the Service is provided free of charge. We plan to offer Free, Starter, Pro and Agency plans; prices and limits will be published before they apply. You will not be charged unless you explicitly choose a paid plan and accept its price and terms.
8. Availability and changes
We work to keep the Service reliable, but it is provided “as is” and “as available”. Publishing depends on third-party platforms and networks: posts may be delayed, rejected or fail, for example if a platform is unavailable, a token expires, or media does not meet the platform’s requirements. Where possible we show the status of every post and notify you of failures. We may modify, suspend or discontinue any part of the Service; if we discontinue the Service entirely, we will give reasonable notice where possible so you can export your data.
9. Our intellectual property
The Service, including its software, design, the Skedeon name and logo, is owned by Vertex Digital and protected by law. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms. Feedback you give us may be used without obligation to you.
10. Privacy
Our Privacy Policy explains how we handle personal data. You can delete your data as described on our data deletion page.
11. Disclaimers
To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee any result from using the Service, including reach, views, followers or sales, and we are not responsible for decisions taken by any platform regarding your accounts or content.
12. Limitation of liability
To the fullest extent permitted by law, Vertex Digital will not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data, goodwill or business opportunities, arising from or related to the Service. Our total liability for all claims relating to the Service is limited to the greater of the amounts you paid us for the Service in the twelve months before the event giving rise to the claim, or one hundred US dollars (USD 100). Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud or gross negligence, or the mandatory rights of consumers.
13. Indemnity
You agree to indemnify and hold harmless Vertex Digital from claims, damages and costs (including reasonable legal fees) brought by third parties arising from Your Content, your use of connected accounts or your breach of these Terms or of any platform’s rules.
14. Suspension and termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access, with notice where reasonable, if you breach these Terms or platform rules, if required by law or a platform, or if your use creates a risk for the Service or other users. On termination, your right to use the Service ends and your data is deleted as described in the Privacy Policy. Sections that by their nature should survive termination will survive.
15. Changes to these Terms
We may update these Terms. We will change the “Last updated” date and, for material changes, notify account holders by e-mail or in the app at least 15 days before the changes take effect. If you continue to use the Service after that, you accept the updated Terms.
16. Governing law and disputes
These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. Any dispute arising from or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates. Before starting proceedings, both parties will try in good faith to resolve the dispute by contacting each other for at least 30 days. If you are a consumer, this clause does not deprive you of the protection of mandatory provisions of the law of the country where you live.
17. General
If any provision of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not transfer these Terms without our consent; we may transfer them as part of a merger, acquisition or sale of assets. These Terms are written in English; translations are provided for convenience, and the English version prevails in case of conflict.
